Our firm recently represented the seller in a real estate transaction. The "on or about" date passed without the purchaser agreeing to set a closing date. After some negotiation the parties agreed to set a new closing date with time being of the essence. When this date came the purchaser was still unwilling or unable to close. The seller held the purchaser in default and kept the down-payment as liquidated damages. The purchaser then sued the seller for return of the down-payment and argued that since they would have been able to close within two days of the day they were held in defualt they should be entitled to the short delay. The Court ruled in favor of our client and held that the purchaser had no basis for bringing an action since they had defaulted. The decision is attached below
